A leading AmLaw firm is seeking a highly motivated mid-level associate with a minimum of three years of experience in intellectual property transactions, with a demonstrated focus on patent acquisition and licensing matters.
This role supports a nationally recognized IP practice serving multinational corporations, emerging growth companies, private equity sponsors, and financial institutions on complex, high-value patent transactions. The associate will work closely with partners across offices on sophisticated domestic and cross-border matters while operating in a fully remote capacity within the United States.
The ideal candidate combines strong technical legal skills with commercial awareness and the ability to manage significant responsibility in a fast-paced, collaborative environment.
Draft, structure, and negotiate complex:
Patent acquisition and divestiture agreements
Exclusive and non-exclusive patent and technology license agreements
Joint development, research, and collaboration agreements
Strategic alliance and technology transfer agreements
IP assignments and portfolio transfer documentation
Lead and manage IP due diligence for:
Domestic and cross-border M&A transactions
Private equity investments
Venture financings
Public company transactions
Advise clients on patent portfolio monetization, commercialization strategies, and risk mitigation
Analyze ownership chains, encumbrances, prior licenses, and related obligations
Coordinate with corporate, tax, litigation, antitrust, and regulatory teams on integrated transactional matters
Support IP-driven settlement and restructuring transactions
J.D. from an accredited law school with strong academic credentials
Admission to at least one U.S. state bar
Minimum of three (3) years of intellectual property transactional experience at a major law firm
Demonstrated experience handling patent acquisition and licensing transactions
Experience conducting and managing IP due diligence in M&A or financing transactions
Excellent drafting, negotiation, and analytical skills
Ability to manage multiple complex matters independently in a remote environment
Technical degree (engineering, computer science, life sciences, or related discipline)
USPTO registration
Experience with international IP transactions
Prior experience advising technology, life sciences, semiconductor, AI, pharmaceutical, or manufacturing clients
Strong commercial judgment and business acumen
Ability to work effectively in a remote, multi-office team structure
High level of responsiveness and accountability
Excellent written and verbal communication skills
