Transactional Lawyer – Investment Team - Private Credit, Direct Lending and Equity Investments
About the Role
Our client is seeking a talented and driven Transactional Lawyer to join their high-performing Investment Team. This is a rare opportunity to work at the intersection of private equity, credit, and corporate transactions. Our team represents a diverse array of capital providers in a wide range of debt and equity investment activities, offering exposure to complex deals across the capital structure.
You will play a key role in structuring and executing investments, advising both institutional investors and portfolio companies on acquisitions, divestitures, and financing strategies. The ideal candidate thrives in a fast-paced, deal-driven environment and brings a commercial mindset to legal problem-solving.
Key Responsibilities
- Advise lenders, private credit funds, and alternative investment vehicles on structured debt and equity investments.
- Represent private equity investors in control and minority equity transactions.
- Counsel portfolio companies on M&A, capital raises, and strategic exits.
- Draft, review, and negotiate a wide range of transactional documents, including:
- Investment and loan agreements
- Shareholder and operating agreements
- Purchase and sale agreements
- Conduct legal due diligence and assess transaction risk.
- Collaborate with senior attorneys and clients to align deal structures with business and regulatory goals.
- Deliver practical, business-oriented legal advice under tight timelines.
Qualifications
- Juris Doctor (JD) from an accredited law school with strong academic credentials.
- 2–6 years of relevant transactional experience, ideally in a law firm or in-house legal department.
- Demonstrated expertise in corporate finance, M&A, or private equity transactions.
- Excellent drafting, negotiation, and analytical skills.
- Strong interpersonal and communication abilities; team-oriented with client-service mindset.
- Proven ability to manage multiple complex projects simultaneously.
- Experience with cross-border transactions or fund formation is a plus.
