Position Summary:

We are seeking a mid-level associate (3–6 years) to join our Corporate and Finance Practice Group. The ideal candidate will have hands-on experience leading and supporting corporate transactions, including M&A, venture capital financings, private equity deals, securities offerings, and general corporate counseling.


Key Responsibilities:

  • Represent buyers and sellers in public and private M&A transactions, joint ventures, and strategic alliances

  • Draft and negotiate stock purchase agreements, asset purchase agreements, merger agreements, shareholder agreements, and other key transaction documents

  • Advise clients on securities law compliance, including SEC reporting, ’33 and ’34 Act filings, and disclosure obligations

  • Work on equity and debt financing transactions, including venture financings, convertible notes, credit facilities, and bond offerings

  • Counsel public and private companies on governance, formation, and general corporate matters

  • Collaborate with tax, IP, employment, and regulatory attorneys to support transactional work

  • Conduct due diligence, manage data rooms, and oversee closing processes

  • Interface directly with clients, opposing counsel, investment bankers, and financial advisors


Qualifications:

  • J.D. from a top-tier law school and licensed to practice in [State] or eligible for waiver/admission

  • 3–6 years of relevant experience in corporate law, with a focus on M&A, securities, and finance transactions

  • Experience at a large law firm or a well-regarded boutique preferred

  • Strong drafting, negotiation, and analytical skills

  • Excellent interpersonal skills and the ability to work effectively in a team environment

  • Demonstrated ability to manage multiple transactions simultaneously with attention to detail

  • Familiarity with venture capital and startup work is a plus
