As a Corporate Law Clerk, you will play a pivotal role in supporting our clients' legal team in various corporate governance matters, transactions, and general legal operations. Roles and Responsibilities
- Prepare corporate documentation related to corporate governance matters, incorporations, organizations, amendments, dissolutions, reorganizations, including tax reorganizations, share, and asset purchases.
- Update and review corporate minute books.
- Manage ongoing corporate maintenance, including corporate searches, filings, and registrations.
- Evaluate events or processes to ensure compliance with laws, regulations, or standards.
- Draft legal documents such as Articles of Incorporation/Amendment/Amalgamation, corporate resolutions and registers, purchase agreements, and related documentation for corporate transactions, mergers, acquisitions, and deals.
- Communicate professionally with clients and external stakeholders.
- Handle administrative tasks such as managing lawyer emails and calendars, coordinating meetings, processing correspondence, and general office duties.
- Process dockets, billing, and accounts receivable.
- Organize client files using the document management system.
Qualifications and Skills
- Completion of a law clerk program or diploma is an asset.
- Minimum of three years' work experience as a Law Clerk or Paralegal in the specialized area of corporate law
- Experience with professional corporations and not-for-profit organizations is highly desirable.
